Thank you for choosing Sylly, the social coordination platform that helps you plan, coordinate, and remember meaningful moments with your people. These Terms of Service ("Terms") govern your use of our services and establish the relationship between you and Sylly.
By using Sylly, you're agreeing to these Terms, our Privacy Policy, and any additional terms that may apply to specific features. Please read them carefully—they contain important information about your rights and responsibilities.
1. Acceptance of Terms
By accessing, downloading, or using Sylly's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These Terms apply to all users of Sylly, including individuals, groups, and organizations that use our social coordination platform. If you're using Sylly on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Sylly is a social coordination platform that provides:

- Memory Sharing: Tools to capture, organize, and share memories from your events

- Developer Tools: APIs and integrations for extending Sylly's capabilities
We provide these services "as is" and reserve the right to modify, update, or discontinue features at any time with reasonable notice to users. We continuously work to improve our services and may introduce new features or change existing ones.
3. User Accounts and Registration
To use certain features of Sylly, you must create an account. When you register, you agree to:
Account Information
- Provide accurate, current, and complete information during registration
- Keep your account information up to date
- Choose a username that doesn't infringe on others' rights or violate our community guidelines
- Not create multiple accounts for the same person
Account Security
- Maintain the security and confidentiality of your account credentials

License to Sylly

- Store your content securely on our servers
- Display your content to other users as directed by you (e.g., in shared events)
- Use anonymized, aggregated data for service improvement and analytics
- Backup and restore your content for data protection purposes
Your Responsibilities
You are responsible for ensuring that your User Content:
- Does not violate any laws, regulations, or third-party rights
- Does not contain harmful, offensive, or inappropriate material
- Does not infringe on intellectual property rights
- Is accurate and not misleading
- Respects the privacy and consent of others featured in your content
Content Removal
You can delete your content at any time through your account settings. We may also remove content that violates these Terms or our community guidelines. When content is deleted, we will remove it from our active systems, though backup copies may persist for a limited time for data recovery purposes.
5. Acceptable Use and Community Guidelines
To maintain a positive environment for all users, you agree not to use Sylly to:
Prohibited Activities
- Violate any applicable laws, regulations, or third-party rights
- Harass, bully, threaten, or intimidate other users
- Share content that is hateful, discriminatory, or promotes violence
- Upload malicious software, viruses, or attempt to compromise system security
- Spam, send unsolicited messages, or engage in commercial activities without permission
- Impersonate others or create fake accounts
- Collect or harvest user information without consent
- Interfere with or disrupt the service, servers, or networks
Intellectual Property
- Respect copyright, trademark, and other intellectual property rights
- Only share content you have the right to share
- Not attempt to reverse engineer, copy, or replicate our software
- Not use our trademarks or branding without permission
Commercial Use
- Personal use of Sylly is encouraged and free
- Commercial use requires explicit written permission
- Selling access to Sylly or creating competing services is prohibited
- Using our platform for unauthorized advertising or marketing is not allowed

Billing Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law or our refund policy
- You can cancel your subscription at any time from your account settings
- Cancellation takes effect at the end of your current billing period
- We may change pricing with 30 days notice to existing subscribers
- Failed payments may result in service suspension after reasonable notice

10. Service Availability and Modifications

11. Limitation of Liability and Disclaimers

Sylly is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted or error-free service
- Accuracy or reliability of content or data
- Security against unauthorized access
Limitation of Liability
To the maximum extent permitted by law, Sylly and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities
- Service interruptions or security breaches
- Third-party actions or content
- Costs of substitute services
Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify and hold harmless Sylly from any claims, damages, or expenses arising from your use of our service, violation of these Terms, or infringement of third-party rights.
12. Termination
Termination by You
- You may terminate your account at any time through account settings
- Cancellation takes effect immediately for free accounts
- Paid subscriptions continue until the end of the billing period
- You can request data export before termination
Termination by Sylly
We may suspend or terminate your account if you:
- Violate these Terms or our community guidelines
- Engage in fraudulent or illegal activities
- Compromise the security or integrity of our service
- Fail to pay subscription fees after reasonable notice
Effect of Termination
- Your access to Sylly will be immediately suspended
- Your data will be deleted according to our Privacy Policy
- Certain provisions of these Terms will survive termination
- No refunds for partial billing periods unless required by law
13. Dispute Resolution
Informal Resolution
Before pursuing formal dispute resolution, please contact us at support@sylly.me to resolve the issue informally. We're committed to working with you to address any concerns.
Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.
Arbitration
For disputes that cannot be resolved informally, both parties agree to binding arbitration under the rules of the Arbitration and Mediation Institute of Ontario (AMIO). This does not apply to claims for injunctive relief or intellectual property disputes.
14. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of significant changes by:
- Posting the updated Terms on this page with a new "Last updated" date
- Sending email notifications for material changes
- Displaying prominent notices in our service
- Requesting your acceptance for significant changes
Your continued use of Sylly after changes become effective constitutes acceptance of the new Terms, unless additional consent is required. If you don't agree to updated Terms, you may terminate your account.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Sylly.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure
Neither party will be liable for any failure or delay in performance due to events beyond their reasonable control, including natural disasters, government actions, or network failures.
